II. Acceptable Use Policy
The Galaxy Web, LLC does have limitations on who can become a client at The Galaxy Web, LLC for legal and protective reasons. A usually quick risk assessment is made before any client is accepted into The Galaxy Web, LLC clientele to not only protect the resources and system integrity of our servers and software, but to also protect the end-user using any of our websites or client sites. WE RESERVE THE RIGHT TO SUSPEND OR CANCEL A CUSTOMER'S ACCESS TO ANY OR ALL SERVICES WE PROVIDED WHEN WE DECIDE THAT THE ACCOUNT HAD BEEN INAPPROPRIATELY USED. Examples of automatic cancellations are:
- Adult Content of ANY kind (selling or displaying)
- Online Gambling
- Spam or unsolicited e-mailing
- Server abuse - attempts to compromise the integrity of uptime and processing
- Unauthorized use of other client accounts
- Get-rich-quick schemes
- Pyramid Schemes deemed illicit by law or by TGW
- Unpaid Balances (past 60 days)
- Copyright Infringement
- Intellectual Property Theft
- Any other reasons deemed by law (federal, state, or municipal determined by location of business)
III. Disclaimers
We reserve the right to refuse service to anyone. Customers may only use our servers for lawful purpose. Transmission of any material in violation of any Federal, State or Local regulation is prohibited.
Customer agrees that it shall defend, indemnify, save and hold us harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney's fees asserted against us, our agents, our customers, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by customer, it's agents, employees or assigns. Customer agrees to defend, indemnify and hold us harmless against liabilities arising out of:
- any injury to person or property caused by any products sold or otherwise distributed in connection with our servers
- any material supplied by customer infringing or allegedly infringing on the proprietary rights of a third party
- copyright infringement and
- any defective products sold to customer from our servers
We will not be responsible for any damages your business may suffer. We make no warranties of any kind, expressed or implied for services we provide. We disclaim any warranty or merchantability or fitness for a particular purpose. This includes loss of data resulting from delays, non-deliveries, wrong delivery, and any and all service interruptions caused by our Web hosting service and our employees. We reserve the right to revise the policies at any time.
FAILURE TO FOLLOW ANY TERM OR CONDITION IS GROUNDS FOR IMMEDIATE DEACTIVATION
IV. Billing
Standard Practices: We only accept US Dollars. We accept credit/debit cards from Visa, Discover, American Express, and Mastercard ONLY as well as cashier's checks, business & personal checks, and money orders. We do not accept bank wire transfers, MoneyGram, Escrow Firms, or other third parties. WE DO NOT FORM BARTERING AGREEMENTS OR TRADE WITH COLLATERAL BY ANY MEANS, AT ANY TIME. All payments due should be made within five (5) days of the invoice date and made payable to The Galaxy Web, LLC, PO Box 175, Snellville, GA 30078. Late payments uncur a 5% late fee per month (compounding) and are assessed immediately on the day after the payment deadline. If the account is past due more than 60 days, it will be closed and assessed a deactivation fee of $50. If the account continues to post an overdue balance of more than 50% of the original balance (at the time the account was late), then the client will be turned over to a collections agency or filed under a small claims suit in the state of Georgia.
Monthly or Recurring Fees: ALL RECURRING MONTHLY FEES (i.e. Andromeda Ecommerce, Hosting, SEO) ARE REQUIRED TO HAVE A CREDIT CARD ON FILE TO AUTOMATICALLY CHARGE MONTHLY. If the client does not agree to this term, he/she/it may pay an annual lump sum with another method of payment.
REFUNDS ARE GRANTED ONLY TO UNUSED HOSTING BALANCES OR REMAINING RECURSIVE BALANCES THAT HAVE BEEN PAID IN FULL PRIOR TO CANCELLATION. ALL FEES WILL BE PRORATED UNTIL THE END OF THE CURRENT BILLING TERM. DOMAIN NAMES, SETUP FEES, DOWN-PAYMENTS, RETAINER FEES, BANK FEES, LATE FEES, PROCESSING FEES, CANCELLATION FEES, APPLICATION FEES, CONSULTATION FEES, TRAVEL EXPENSES, OR OTHER FEES NOT DEEMED RECURSIVE OR OTHERWISE STATED ARE NOT REFUNDABLE. CUSTOM PROJECTS ARE NOT REFUNDABLE UNLESS TIME UNUSED IS DOCUMENTED AND APPLICABLE.
Service Contract: All recursive services have a required term of use depending upon the sepcific service. Andromeda Ecommerce has an applicable 12-month contract at a rate of $99 per month. Search Engine Optimization (regardless of service level) requires a 6-month service contract. All hosting accounts require a 12-month service contract. All merchant processing requires a 12 or 24 month contract depending upon the tailored merchant needs. CANCELLATION OF AN ACCOUNT REQUIRES 50% OF REMAINING BALANCE FOR REMAINING MONTHS. For example: should a client wish to cancel the Andromeda Ecommerce package 3 months before the 12-month contract is expired, that client will be responsible for $148.50 to effectively close the account without penalty or due balances.
Custom Projects: Custom projects are deemed to require a custom proposal and quote for the client. All custom projects are assessed by The Galaxy Web, LLC and upon agreement of the proposal, an exception to part of the billing policy. All custom projects (NOT COINCIDED WITH A REGULAR PACKAGE) will require half of the total project cost up-front and half at the publication of the project. Payment plans such as financing may be made available on a case-by-case basis with a minimum of 5% per month. A retainer fee may be collected when a project timeframe is not easily estimated of which will be collected in full before any development is completed. Custom projects are ALWAYS gauged on an hourly basis. EVEN THOUGH CUSTOM PROJECTS MAY SEEM TO BE AT THE CREATION OF THE CLIENT, THE GALAXY WEB, LLC RESERVES ALL INTELLECTUAL PROPERTY RIGHTS FOR THE SOURCE CODE, DESIGN (unless provided otherwise), AND ANY OTHER PRODUCTION MADE BY THE GALAXY WEB, LLC. THE CLIENT, IN THESE INSTANCES, HAVE THE FULL RIGHT TO THE CONCEPTUAL CREATIVITY BUT DOES NOT IN ANY WAY OWN THE INFRASTRUCTURE OF THE WEBSITE OR THE SOURCE CODE WITHIN. AT NO TIME WILL A CLIENT HAVE ROOT ACCESS TO THE SERVER FURTHER PROVIDING ACCESS TO SOURCE CODE. A STATEMENT OF COPYRIGHT IS REQUIRED ON EVERY CUSTOM WEBSITE ALONG WITH A LINK TO THE GALAXY WEB, LLC'S WEBSITE FOR VERIFICATION. Should the client decline the public copyright notice and link, he/she/it may elect to compensate The Galaxy Web, LLC 50% of the project cost for removal of said link and statement. If the client wishes to purchase the system outright, expunging The Galaxy Web, LLC from ownership of the framework or source files, a formal appraisal and agreement must be made.
Cancellations: Should you choose to cancel your account services in full or in part, The Galaxy Web, LLC requires a written statement sent to: The Galaxy Web, LLC, ATTN: Cancellations, 335 Anderson Dr., Dahlonega, GA 30533. Accounts will be closed on the date the letter was POSTMARKED.
